Creator Terms

These Creator Terms ("Creator Terms") are an agreement between you ("you", the "Creator") and Global Piggy Inc., a corporation incorporated under the laws of the Province of Ontario, Canada (Ontario Corporation No. 1001740679) ("GPI", "we", "us"), which operates NodajiMarket at nodajimarket.com and app.nodajimarket.com (the "Service").

1. How selling works — GPI is the seller

GPI is the merchant of record for every sale on the Service. When a buyer purchases your content, the contract of sale is between the buyer and GPI. You are a Supplier within the meaning of the Terms of Service: you license your content to GPI, and GPI sells access to it.

This means GPI, not you, handles payment processing, taxes on the sale, delivery of access, refunds and buyer disputes. It also means GPI sets the store price (§3) and pays you a licence fee (§4). Nothing in these Creator Terms makes you GPI’s employee, agent or partner, and you may not make commitments on GPI’s behalf.

2. Eligibility and your account

You must be 18 or over and legally able to enter a contract to register as a Creator. If you register on behalf of a business, you confirm you are authorised to bind it. Keep your profile accurate; we contact you through the email address on your account.

3. Submissions, review and price

• Submitting. You submit content through the Creator Studio together with a suggested price in US dollars. A submission is an offer to license, not a listing.
• Review. Every submission is reviewed by GPI before anything is published. We may accept, ask for changes, or decline a submission at our discretion, and we are not obliged to publish anything.
• Store price. GPI sets the price buyers pay, and may change it, run promotions or offer the content in bundles. Your suggested price informs that decision but does not bind it.
• Acceptance Notice. If we accept a submission we send you an Acceptance Notice by email stating the content covered, the licence fee and how it is calculated, the payment schedule, and any territory or term limits. Content is published only after you confirm the Acceptance Notice. If the Acceptance Notice and these Creator Terms differ, the Acceptance Notice governs that content.

4. Licence fee

For each accepted item GPI pays you the licence fee stated in its Acceptance Notice, in US dollars, by the payment method and on the schedule stated there. Amounts refunded to buyers under the Refund Policy, and sales reversed through chargebacks or fraud, are excluded from any fee calculated on sales. We provide a statement for each payment.

You are responsible for your own taxes on the fees you receive. We may ask for tax or identity information required by law before paying you, and may withhold a payment until we receive it.

No reward units. Creators are paid only in money as described above. You do not earn, and GPI does not pay, any loyalty point, token or reward unit for your content, and no such unit can be used on the Service (Terms of Service §8).

5. Licence you grant

You keep ownership of your content. For each accepted item you grant GPI a worldwide, non-exclusive licence, for the term stated in its Acceptance Notice, to host, reproduce, adapt for format and accessibility (for example captions, translations of the listing and preview clips), display, promote and sell access to the content on the Service, and to grant buyers the personal licence described in Terms of Service §4(a). This licence survives for buyers who bought access before the content was withdrawn.

6. Your promises about content

You confirm that each submission:

• is your original work, or you hold every right needed to license it on these terms, including for music, images, footage, fonts and third-party material;
• does not use any real person’s name, likeness or voice, or any brand, logo, character or other protected material, without permission;
• is accurate, is suitable for a general adult and older-teen learning audience, and contains no sexual, hateful, violent or otherwise harmful material;
• does not promise financial results, describe products or skills as a way to make money, or present testimonials or success stories as typical outcomes;
• contains no malware, tracking code or links that collect buyers’ personal information.

We may remove content that breaks these promises or that we reasonably believe infringes someone else’s rights, and may suspend fees on it while a claim is open.

7. Withdrawing content and ending these terms

You may withdraw a submission before it is accepted at any time in the Creator Studio. To withdraw published content, contact us; it is removed from sale within 30 days, and buyers who already bought it keep access. Either party may end these Creator Terms on 30 days’ written notice. We may end them immediately for a serious breach. Fees already earned remain payable.

8. Personal data

We process your profile and payment details under our Privacy Policy. Buyers’ personal data is not shared with you except where needed to resolve a specific support request, and you may use it only for that purpose.

9. Liability

To the extent permitted by law, GPI’s total liability to you under these Creator Terms is limited to the licence fees paid or payable to you in the 12 months before the claim. You will cover GPI’s reasonable losses from third-party claims that your content infringes their rights or breaks §6.

10. Governing law

These Creator Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and disputes are resolved in the courts of Ontario. Please contact us first.

11. Changes

We may update these Creator Terms prospectively. We will email you before a change takes effect; continuing to submit content after that date means you accept the new version. Acceptance Notices already confirmed keep their terms.
